Agreement to Terms

Welcome to naatile.tech, Kerala's Tech Event Hub. These Terms of Service ("Terms") govern your access to and use of the naatile.tech website, mobile applications, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and naatile.tech regarding your use of the Platform.

Changes to Terms

We may modify these Terms at any time, in our sole discretion. If we do so, we will update the "Last Updated" date at the top of these Terms. If we make changes that are material, we will use reasonable efforts to notify you, such as by email to any email address you have provided to us or by posting a notice on the Platform.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the Terms as modified. It is your responsibility to check the Platform regularly for changes to these Terms.

Account Registration

• Provide accurate, current, and complete information about yourself
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Promptly notify naatile.tech if you discover or suspect any security breaches or unauthorized access to your account
• Take responsibility for all activities that occur under your account

You may not share your account credentials with anyone else. You are fully responsible for all activities that occur through your account. We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or incomplete, or if you violate these Terms.

Platform Use

Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or these Terms
• Post or transmit content that is fraudulent, false, misleading, or deceptive
• Post or transmit content that infringes or violates the intellectual property or other rights of any party
• Distribute malware, viruses, or any other malicious code
• Interfere with or disrupt the integrity or performance of the Platform
• Collect or store personal data about other users without their consent
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Engage in any harassing, abusive, or harmful behavior toward other users

User Content

You are solely responsible for all content, materials, information, and data that you post, upload, submit, or otherwise transmit through the Platform ("User Content"). By posting User Content, you grant naatile.tech a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and naatile.tech's business.

You represent and warrant that:

• You own or have the necessary rights to post your User Content
• Your User Content does not and will not violate the rights of any third party, including intellectual property rights and privacy rights
• Your User Content complies with these Terms and all applicable laws

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, in our sole discretion.

Event Terms

• Provide accurate and complete registration information
• Abide by the specific terms and conditions of each event, as set by the event organizer
• Pay any applicable registration fees in full (for paid events)
• Comply with the event organizer's rules, including check-in procedures, conduct requirements, and cancellation policies

Event Attendance

naatile.tech does not guarantee admission to any event. Entry to an event is at the discretion of the event organizer, who may impose entry requirements or refuse admission without refund in accordance with their terms and conditions. By registering for an event, you acknowledge that:

• You must comply with all rules and regulations of the venue and event organizer
• Event details, including date, time, location, and content, are subject to change
• naatile.tech is not responsible for the quality, safety, or satisfaction of any event listed on the Platform
• Photographs and recordings may be taken at events, and you consent to being photographed or recorded at events you attend

Event Organizer Terms

Organizing Events

If you use the Platform as an event organizer, you agree to:

• Provide accurate and complete information about your event
• Comply with all applicable laws, regulations, and industry standards
• Obtain all necessary permits, licenses, and insurance for your event
• Clearly communicate your event terms, including registration, refund, and cancellation policies
• Fulfill your obligations to event attendees as described in your event listing
• Respond promptly to attendee inquiries and issues
• Handle personal data of attendees in accordance with applicable data protection laws

Event Content

As an event organizer, you are solely responsible for:

• The accuracy of event descriptions, images, and other content
• Ensuring you have the rights to use all content in your event listings
• The quality, safety, and legality of your event
• Ensuring your event does not promote illegal activities or discriminatory practices

We reserve the right to remove or modify event listings that violate these Terms or that we find objectionable for any reason, in our sole discretion.

Payments and Fees

For Event Attendees

When you register for a paid event:

• You agree to pay all applicable fees and taxes as specified in the event listing
• All payments are processed through our secure third-party payment processors
• Refunds are subject to the event organizer's refund policy as stated in the event listing
• In case of event cancellation, the refund policy will be applied as stated by the event organizer

For Event Organizers

When you list a paid event on our Platform:

• You authorize us to collect payments on your behalf from event attendees
• We will remit collected payments to you according to our payment schedule, less any applicable service fees
• You are responsible for setting and communicating a clear refund policy to attendees
• You are responsible for complying with all applicable tax laws and regulations

Platform Fees

naatile.tech may charge service fees for the use of certain Platform features. These fees will be clearly disclosed before you incur them. We reserve the right to change our fee structure with reasonable notice.

Communications

By creating an account or using the Platform, you agree to receive communications from naatile.tech, including:

• Service announcements and administrative messages
• Event-related communications (confirmations, updates, reminders)
• Newsletters and marketing communications (if you opt in)

You can opt out of marketing communications at any time by following the unsubscribe instructions in the communication or by updating your preferences in your account settings. However, you cannot opt out of service and event-related communications that are essential to your use of the Platform.

WhatsApp Communications

If you opt in to receive WhatsApp notifications:

• You agree to receive event updates, confirmations, and other Platform notifications via WhatsApp
• You can opt out at any time by sending "STOP" in response to any WhatsApp message or by updating your communication preferences in your account settings
• WhatsApp communications will comply with the WhatsApp Business Messaging Policy

Intellectual Property

You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, or perform any of the content on the Platform without prior written consent
• Use any trademarks, service marks, or logos displayed on the Platform without our prior written consent
• Remove any copyright, trademark, or other proprietary notices from the Platform
• Use the Platform or its content for any commercial purpose not expressly permitted by naatile.tech
• Attempt to decompile, reverse engineer, or otherwise attempt to discover the source code of the Platform

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. This license does not include the right to collect or harvest data from the Platform, to use data mining, robots, or similar data gathering tools, or to resell or make any commercial use of the Platform or its content.

Limitation of Liability

To the maximum extent permitted by law, naatile.tech and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, or goodwill, arising out of or in connection with:

• Your access to or use of, or inability to access or use, the Platform
• Any conduct or content of any third party on the Platform
• The quality, accuracy, or safety of events listed on the Platform
• Any unauthorized access to or use of our servers and any personal or financial information stored therein
• Any interruption or cessation of transmission to or from the Platform

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Engaging in prohibited activities
• Providing false or misleading information
• Failure to pay applicable fees
• Upon request by law enforcement or government agencies

Upon termination:

• Your right to use the Platform will immediately cease
• Your account and all related information may be deleted
• Any pending event registrations may be canceled
• You may remain liable for any outstanding fees or obligations

All provisions of the Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be exclusively brought in the courts located in Kerala, India, and you consent to the jurisdiction of such courts.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
